The Louisiana single-member limited liability company operating agreement should be put in writing as this will act as a provable contract between the company and its member. Lousiana does not mandate this contract, thus, it can be created at any time. In fact, should additional members be added, an operating agreement serves as proof of the original structure placed by the original member as well as the identity of that member. Therefore, it is generally accepted that even single-member limited liability companies should have a notarized operating agreement drawn up at its formation and kept on file for its lifespan.
