The Wyoming single-member limited liability company agreement creates a secure signed contract that declares the status of the member and the company it concerns. Wyoming will not require this contract as a filing however, without one, limited liability companies will be subject to the default status and procedures required by state laws. Therefore, it is often in the best interest of a company’s sole member to formally distinguish personal property and assets as separate from the LLC’s business and make other declarations, such as the type of tax entity the LLC will be.
With a well thought agreement in place, the Wyoming member will have a basic structure and plan laid out for the company which often promotes a recommended level of organization.
