Michigan corporate bylaws need to be put in place by corporations to legally operate and conduct business. Generally, Michigan corporations shall set their bylaws through a popular vote of its directors on the first official board meeting. This is encouraged since the sooner paperwork is executed the sooner a Michigan corporation can operate efficiently and legally.

Yes. Michigan corporations are obligated to institute an official set of bylaws to follow as per § 450.1231 of the Michigan Business Corporation Act.
