Washington corporate bylaws are a combination of the rules that a corporate board of directors is obliged to follow during meetings, quorum guidelines, and any ad hoc meeting requirements that must be met by its participants.  The current roster governing this entity and the protocol required for changing it will need to accompany these guidelines in the Washington corporation’s bylaws.

While the Washington corporate bylaws should go to significant lengths to define the corporation that has adopted them, many would stress the need to document the voting procedures to amend the current bylaws. Is it REQUIRED in Washington?

Yes. According to Washington Revised Code § 23B.02.060 (2019)  corporations in Washington state are under an obligation to implement an official set of bylaws.
