Delaware corporate bylaws must be named by an entity’s incorporators or board of directors on paper. As one of the requirements of Delaware, incorporators should be prepared to provide a full roster of their governing board, the policies the corporation will employ, and complete any declarations regarding taxation and stocks required to define the corporation.

While the bylaws do not need to be submitted or filed with a Delaware government office unless requested, they must remain accessible in the corporation’s records.

Is it REQUIRED in Delaware?

Yes. Delaware corporations must institute a set of bylaws as required by Title 8 of Delaware Corporation Law.
