Idaho Corporate bylaws must be determined and passed by the entity’s board of directors or similar governing parties. These regulations and definitions will detail a corporation’s ruling roster, mission, operational procedures, stock details, and how the board of directors or officers and committees may meet and act.

Ideally, incorporators should make sure this paperwork is set up so that the board may vote on it during its first meeting.

Is it Required in Idaho?

Yes. In order to be compliant with Title 30 of Idaho state law (30-30-206), board members of Idaho corporations must decide and pass their corporate bylaws.
