Kentucky corporate bylaws must be completed and then set to govern how a corporation may conduct business in this state. This document must contain a complete roster of the individuals or parties that will determine this corporation’s actions. In addition to listing the Kentucky corporate directors or officers, the bylaws must contain the guidelines and regulations that will be used for corporate board meetings.

A Kentucky corporation’s bylaws should also detail how they may be updated but must always remain consistent with the entity’s articles of incorporation. Naturally, Kentucky will expect the company’s policies, finances, and procedures to be detailed in its bylaws and kept up-to-date.

Is it REQUIRED in Kentucky?

Yes. KY Revised Statute § 271B. 2-060 mandates that all corporations operating in this state formally issue and maintain its bylaws as an internal governing document.
