New York corporate bylaws document the director’s and the officer’s roster of a corporation and apply rules of conduct to their board meetings and managerial policies. The powers of these governing parties and any shareholders will also be assigned through its corporate bylaws.

A New York corporation’s bylaws will be used to run the organization in that it will also establish the procedures and policies needed to define its operations as well as its status as a taxed entity in this state. While some bylaw provisions will remain stable over time, others will need adjustment therefore, a successful set of bylaws will explain the voting policies required to edit or amend its provisions.

Is it REQUIRED in New York?

Yes. Corporate bylaws must be adopted by New York corporations to satisfy NY Bus-Corp L § 601.
