Ohio Corporate Bylaws Templates (5)

Ohio corporate bylaws summarize a corporation’s governing roster, operation guidelines, and finances. This set of bylaws should initially be passed as early on in an Ohio corporation’s history as possible and must include the full name of the directors and officers that will determine the organization’s actions. The protocol defining how a meeting should be organized and conducted should also be clearly discussed.

In short, Ohio corporations wishing to make the most of the bylaws that shall regulate how business is conducted should include as much information as possible regarding the organization and how it will operate under and amend the bylaws when needed.

Is it REQUIRED in Ohio?

No. Although Ohio states that corporations “may” adopt bylaws (Ohio Rev Code § 1701.11), the state makes no demand upon a corporation to do so.
