Pennsylvania corporate bylaws will embody the regulations and protocols that a board of directors has decided should be obeyed to participate in the organization’s meetings. Pennsylvania corporations should also include a full listing of every director or officer in the company combined with the authority or power they carry.

Since the bylaws will also contain provisions that would dictate the governing policies of the company and its status, the board members should be prepared to determine how the bylaws may be changed in the future so that this may be set to paper as well.  While the State of Pennsylvania does not impose a requirement that corporations adopt a formal set of bylaws, many would consider it imperative to a corporation’s health and longevity to do so early on.

Is it REQUIRED in Pennsylvania?

No. Pennsylvania state law does not expect or require that a corporation institute, adopt, or operate under a set of corporate bylaws.
