South Dakota Corporate Bylaws Templates (5)

South Dakota Corporate Bylaws will organize and set the policies a board of directors wishes to institute for their entity. Here, it will be necessary to name each director or officer, detail the meeting protocols that must be observed, and the requirements needed to organize a meeting.

The bylaws that the South Dakota board of directors institute should include as many other defining provisions for the corporations.  A healthy set of South Dakota corporate bylaws will include provisions covering subjects such as the procedures needed for hiring and firing corporate personnel, organizing ad hoc committees, and defining the class of stock available to shareholders should all be included.

Is it REQUIRED in South Dakota?

Yes.  § 47-1A-206 requires South Dakota corporations to have board-approved bylaws to be adopted.
