Tennessee corporate bylaws is the embodiment of every regulation, policy, and provision that a board of directors intends to implement when managing their organization.

In addition to such definitions, a set of Tennessee corporate bylaws must also assign the voting and managerial power of every director on the roster. It is often recommended that entities also include material defining how the roster may change in the future and how these conditions can be amended by the board and, if applicable, a corporation’s shareholders.

Is it REQUIRED in Tennessee?

Yes. They Are required. § 48-12-106(a) of the Tennessee code requires that every corporation in this state approve their corporate bylaws as soon as possible.
