Texas corporate bylaws report the name of every corporate officer of an entity and the authority they hold. This roster must be accompanied by the rules that each officer must follow when a meeting is organized and the protocol expected during such meetings.

A Texas corporation’s bylaws will also be expected to define the procedures that must be followed by the corporation when operating and the status of this entity. These definitions will show that the corporation operates in a clear-cut manner within the confines of Texas state law.

Is it REQUIRED in Texas?

Yes. Corporate bylaws must be adopted by Texas corporations in this state as per  § 21.057  This is considered mandatory.
