Wyoming corporate bylaws will give a corporation a formal structure for its procedures and operations. The board of directors will have to identify themselves and present their voting authority using these bylaws then discuss the entity’s stock options, and shareholder rights.

A Wyoming corporation is under no obligation to issue its bylaws at any time but since this act will establish much of the necessary operating procedures and present its corporate policies and status, many would argue that a corporation would be hard-pressed to conduct business without one. Such a corporation would find it difficult to handle financial institutions and rise up to any inquiries made by government entities seeking explanations for the corporation’s actions.

Is it REQUIRED in Wyoming?

No. State law in Wyoming does not demand that corporations implement bylaws as a means to govern that entity.
