California Single-Member Operating Agreement Templates (5)

The California single-member limited liability operating agreement sets to paper both the obligations of its member and any protections that the member has access to. California requires that some sort of agreement is in place when this type of entity forms through its certificate of organization.

A single-member operating agreement does not necessarily need to be a physical document but without a dated signature, it would be difficult to prove that one existed between a member and a limited liability company. Therefore, it is generally recommended to have a written operating agreement drawn up and signed by the time the LLC submits its certificate of organization to the state department.
