The Delaware single-member limited liability company operating agreement records the management responsibilities and expected actions of the sole member and the concerned LLC. The State of Delaware does not consider this document a requirement to form or maintain a limited liability company however, not having a member-signed single operating agreement in place can leave the entity and its sole member vulnerable to unforeseen questions or actions that could jeopardize the company and its single member.
In order for a member to benefit from the protections a limited liability company affords, a signed operating agreement that dictates such items as the company’s identifying information, tax status, and purpose should be written down, signed by the member, and kept with the company records.
