The Maryland single-member limited liability company operating agreement is a crucial element of any limited liability company’s internal structure and security. Maryland places no real requirement for this agreement’s creation or maintenance which allows for both verbal or written agreements to be implemented during (or after) the formation of this entity. However, a written agreement will always be considered preferable since it definitively establishes the identity of the sole member of the Maryland limited liability company at the time of its formation. As such, sole members are encouraged to create a written operating agreement when forming a limited liability company in Maryland.
