The Michigan single-member limited liability company operating agreement is put in place by the sole member of the limited liability company it discusses. The goal of this contract should be to lay out the structure of the company, its policies, and the protections it may legally provide to the member in writing. Michigan does not expect this agreement to be created or filed but, on the whole, company owners or sole members are encouraged to have a signed operating agreement in place with their limited liability companies. In fact, since an operating agreement will document topics ranging from voting rights to ownership to management structure, it can be considered a valuable historical document for the LLC’s files as well as a reference point whenever company policy is discussed.
