The North Dakota single-member limited liability company operating agreement should be issued between the LLC and its solitary member. An operating agreement is not required in North Dakota but without one, the sole member of a company will be left open to questions as to the company’s existence, purpose, and structure. An internal written contract that is dated will carry a certain credibility when coupled with the formal paperwork required to organize this entity. Additionally, certain institutions (i.e. financial, insurance, investors, etc.) will require or prefer if investigating the LLC.
