The Utah single-member LLC operating agreement is an instrument used by the sole member of a company as validation for the relationship between that signature member and a specific LLC. This contract acts as a declaration of how the Utah LLC will be run by its only member by covering subjects ranging from its hiring practices to its voting procedures as well as discussing the company environment by documenting items such as its goals as a company and even its tax status.
As this agreement is not required by Utah and is signed by only one individual (the member), it is highly advisable that the member’s signature is notarized and that this act is completed by the time the Utah LLC is formally organized through its certificate of organization.
