The Washington single-member limited liability company operating agreement should be carefully developed by a Washington LLC’s owner (or sole member), then set in writing and signed. If possible, collaboration with a qualified professional would also be encouraged. Sole members that produce a well-worded contract will enjoy benefits such as their assets being considered separate from the company when the law allows and establishing the tax status early on.

The policies the sole member includes in the contract should, ideally, provide a guideline or blueprint for how the company will handle everything from its day-to-day operations to adopting or amending its content. It should be noted that Washington will allow for a purely verbal agreement between the sole member and the LLC but this can be very difficult to enforce especially if there is no supporting documentation therefore, a written agreement is considered an ideal tool.
