The Idaho partnership agreement that two or more partners sign binds them to the exact conditions that will be applied to each one’s place in a business. Many would agree that a well-organized partnership has a greater chance of functioning on the market than one that is not. Therefore, the partners behind the Idaho business should settle on how the business is managed, how it acquires funds, distributes its profits, handle its losses, and the percentage of each partner’s power or authority over the entity.
Completing an agreement containing such provisions will require a concerted effort from every partner of the Idaho business since each will be considered fully informed of the agreement and able to carry out their duties upon their signature.
State Definition
“(9) “Partnership agreement” means the agreement, whether or not referred to as a partnership agreement and whether oral, implied, in a record, or in any combination thereof, of all the partners of a partnership concerning the matters described in section 30-23-105(a), Idaho Code. The term includes the agreement as amended or restated.”
