Maine partnership agreements contain the policies and structure two or more partners intend to utilize for their business. Such a contract should only be drafted after every Maine business partner has carefully examined the provisions it places in effect.
This serves the company by standardizing how Maine partners run the business. Furthermore, their signatures will bind them to the contract provisions, meaning they acknowledge the laws the company must follow including the tax entity status of the company.
State Definition
“1. Agreement governs; default. Except as otherwise provided in subsection 2, the partnership agreement governs relations among the partners and between the partners and the partnership. It is the policy of this chapter to give maximum effect to the principle of freedom of contract and to the enforceability of partnership agreements. To the extent the partnership agreement does not otherwise provide, this chapter governs relations among the partners and between the partners and the partnership.”
