A Utah partnership agreement requires that partners of a Utah company collaborate on their research and discuss their level of commitment in a forthright manner. Since this is a signed contract, participants must uphold the regulations it imposes upon the partnership’s behavior, goals, and roster. Additionally, the way the company performs certain actions such as paying its taxes or obtaining a loan will be solidified once this document has been executed through the Utah partner signatures.
Generally speaking, everything needed to explain the company’s existence and rules of operation should be included and then agreed to in this paperwork. Naturally, the state shall enforce the provisions of this contract using the Utah partners’ signature since this indicates that they are fully aware of their intended commitment.
“(13) “Partnership agreement” means the agreement, whether or not referred to as a partnership agreement, and whether oral, implied, in a record, or in any combination thereof, of all the partners of a partnership concerning the matters described in Subsection 48-1d-106(1). The term includes the agreement as amended or restated.”
